Welcome to Sych. These Terms of Service ("Terms") constitute a legally binding agreement between you and Sych ("we," "our," or "us") governing your use of our mental healthcare platform and services.

By accessing or using Sych, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our services.

IMPORTANT: These Terms contain an arbitration clause and class action waiver that affect your legal rights. Please read Section 10 carefully.

2. Description of Services

Sych provides a digital platform that connects patients with licensed mental health professionals for remote consultations, treatment, and ongoing care management. Our services include:

• Video and text-based consultations with licensed providers
• Appointment scheduling and management
• Secure messaging with healthcare providers
• Symptom tracking and journaling tools
• Electronic health records management
• AI-powered assistance for non-medical support

Sych is a platform provider and does not provide medical services directly. All medical services are provided by independent licensed healthcare professionals.

3. Eligibility

To use Sych, you must:

• Be at least 13 years of age (users 13-17 require parental consent)
• Have the legal capacity to enter into a binding contract
• Reside in a jurisdiction where our services are available
• Provide accurate and complete registration information
• Not be prohibited from using our services under applicable law

For healthcare providers, additional eligibility requirements include:

• Current, valid license to practice in your jurisdiction
• Professional liability insurance
• Compliance with all applicable medical regulations

4. Account Registration and Security

4.1 Account Creation

To access our services, you must create an account with accurate, current, and complete information. You agree to update your information promptly if it changes.

4.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring your account information remains accurate

4.3 Account Restrictions

You may not:

• Create multiple accounts
• Share your account with others
• Transfer or sell your account
• Use another person's account without permission

5. Fees and Payment

5.1 Subscription Fees

Access to Sych requires a paid subscription. Current pricing is available on our Pricing page. We offer monthly and annual billing options.

5.2 Payment Terms

• Payments are processed through our secure payment partner
• Subscriptions automatically renew unless canceled
• You authorize us to charge your payment method for recurring fees
• Price changes will be communicated 30 days in advance

5.3 Refund Policy

We offer refunds within 7 days of your initial subscription if no services have been used. Refunds for ongoing subscriptions are handled on a case-by-case basis. Visit our contact page for billing questions.

5.4 Late Payment

Failure to pay subscription fees may result in suspension or termination of your account. We reserve the right to charge interest on overdue amounts at the rate of 1.5% per month.

6. User Conduct

When using Sych, you agree not to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Transmit malware, viruses, or harmful code
• Harass, threaten, or abuse other users or providers
• Impersonate any person or entity
• Collect or harvest user information
• Interfere with platform security or functionality
• Use automated systems (bots, scrapers) without permission
• Reverse engineer or attempt to access source code
• Use the platform for illegal or unauthorized purposes

6.2 Professional Conduct (Providers)

Healthcare providers must:

• Maintain current licensure and credentials
• Comply with HIPAA and medical ethics standards
• Provide services within their scope of practice
• Maintain professional liability insurance
• Report any adverse events or safety concerns

7. Medical Disclaimer

IMPORTANT MEDICAL DISCLAIMER: Sych is a platform that connects you with healthcare providers but does not provide medical advice, diagnosis, or treatment. The information and services provided through Sych are for informational purposes and do not replace professional medical judgment.

7.1 Provider-Patient Relationship

Any healthcare services you receive are provided directly by independent licensed healthcare professionals, not by Sych. We do not practice medicine or provide medical advice.

7.2 Emergency Services

Sych is NOT for emergencies. If you are experiencing a medical or mental health emergency, including thoughts of harming yourself or others, call 911, go to the nearest emergency room, or call the National Suicide Prevention Lifeline at 988.

7.3 No Guarantees

We do not guarantee any specific health outcomes or treatment results. The effectiveness of treatment depends on many factors beyond our control.

7.4 Medication

Providers may prescribe medication through the platform, but you are responsible for filling prescriptions and following medication instructions. We are not responsible for pharmacy services or medication effectiveness.

8. Intellectual Property

8.1 Our Content

All content on Sych, including text, graphics, logos, software, and design elements, is owned by Sych or our licensors and protected by copyright, trademark, and other intellectual property laws.

8.2 Your Content

You retain ownership of health information and content you provide through Sych. By using our services, you grant us a limited license to use your information solely for providing and improving our services, as described in our Privacy Policy.

8.3 Feedback

If you provide feedback or suggestions about Sych, you grant us the right to use that feedback without compensation or attribution.

9. Termination

9.1 Termination by You

You may terminate your account at any time through your account settings. Termination will be effective at the end of your current billing period.

9.2 Termination by Us

We may suspend or terminate your account immediately if:

• You violate these Terms
• You fail to pay subscription fees
• Your use poses security or legal risks
• We are required to do so by law
• We cease operations

9.3 Effect of Termination

Upon termination:

• Your access to Sych will cease immediately
• You will lose access to your account and data
• You may request a copy of your health records
• Outstanding fees remain due
• Provisions that should survive termination will continue to apply

10. Limitation of Liability

10.1 Disclaimer of Warranties

SYCH IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYCH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM YOUR USE OF SYCH SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

10.3 Indemnification

You agree to indemnify and hold harmless Sych, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorneys' fees) arising from:

• Your use of Sych
• Your violation of these Terms
• Your violation of any rights of another party
• Your breach of applicable laws or regulations

10.4 Arbitration Agreement

Any dispute arising from these Terms or your use of Sych will be resolved through binding arbitration rather than in court, except that you may assert claims in small claims court if your claims qualify. The Federal Arbitration Act governs the interpretation and enforcement of this provision.

Class Action Waiver: You agree that any arbitration or proceeding shall be limited to the dispute between you and Sych individually. CLASS ACTION LAWSUITS, CLASS-WIDE ARBITRATIONS, PRIVATE ATTORNEY-GENERAL ACTIONS, AND ANY OTHER PROCEEDING WHERE SOMEONE ACTS IN A REPRESENTATIVE CAPACITY ARE NOT ALLOWED.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes not subject to arbitration shall be brought in the state or federal courts located in New York County, New York.

11.1 Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the platform. Continued use of Sych after changes constitutes acceptance of the modified Terms.

11.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

11.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

11.4 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us, constitute the entire agreement between you and Sych.
